These terms govern your use of Meji Connect, the referral and project platform operated by Meji Builds ("Meji Builds", "we", "us"). By creating an account, submitting a project brief, or otherwise using Meji Connect, you agree to these terms. If you don't agree, please don't use the platform.

1. Definitions

Meji Builds: the design and development studio that owns and operates Meji Connect.
Meji Connect: this platform, meaning the referral programme, the client portal, the studio console, and everything that runs them.
Scout: anyone who signs up to refer clients to Meji Builds through Meji Connect and earn commission on projects that close.
Client: anyone who submits a project brief through a Scout's invite link, or directly, to work with Meji Builds.
Deal: one client's project, from first introduction through to it closing (won, lost, or cancelled).
Commission: the share of a Deal's payments a Scout earns for a successful introduction.

2. Who Meji Connect Is For

Meji Connect serves two kinds of people: Scouts, who introduce potential clients to Meji Builds and are compensated when those introductions turn into paid work, and Clients, who use it to brief Meji Builds on a project, negotiate a price, pay for it, and track progress. Meji Builds staff use a separate console to manage both sides.

3. Eligibility

You must be at least 18 years old and legally capable of entering into a binding contract to create a Scout account or to submit a project as a Client. Scouts must provide accurate, current information at signup and keep it up to date, particularly the bank details commission is paid out to. We may refuse, suspend or close an account where information provided is false, incomplete, or can't be verified.

4. Scout Accounts & the Referral Programme

4.1 Your invite link

On signup you receive a personal referral code and invite link. Anyone who opens it and submits a project brief is tracked to you automatically, with no extra step and nothing to fill in on your side beyond sharing the link.

4.2 How attribution works

The first Scout to introduce a given client keeps that client. This is called first-touch attribution. If a second Scout's link is later used by someone already in our system, that claim is flagged for Meji Builds to review rather than silently reassigned or silently ignored; the client's project proceeds either way. If someone was already a direct Meji Builds contact before being referred, that introduction is not eligible for commission; we'll tell you why if this applies to one of your referrals. You may not refer yourself, including under a different name, email or phone number; self-referrals are rejected and are treated as a breach of these terms if attempted deliberately.

4.3 Commission

Your commission rate is shown in your dashboard and is fixed to a Deal the moment it's created. A later change to your rate applies to new Deals only, never to ones already in progress. Commission is calculated as your rate applied to money the client has actually paid, not the headline value of the Deal. If a client only ever pays part of the agreed price, commission on the unpaid part simply never accrues; you are never charged for it and Meji Builds is never out of pocket on your behalf.

4.4 Holds on newly earned commission

Commission is held for a period (shown in your dashboard, normally 10 days) after the client's payment clears before it can be withdrawn, to cover the possibility of a refund or cancellation. This hold ends automatically, immediately, once the Deal it belongs to is paid in full, since there is nothing left to refund at that point. Meji Builds may also release a hold early at its discretion. Changing the standard hold period going forward does not retroactively re-hold or release commission that has already accrued.

4.5 Refunds and clawbacks

If a client's payment is refunded or reversed after commission on it has already accrued, that commission is clawed back from your balance. If this takes your balance negative, it is a genuine debt against future commission. It clears automatically as new commission accrues, and withdrawals are paused while your balance is negative. You are never asked to pay this out of pocket.

4.6 Withdrawals

You can request a withdrawal once your available balance meets the minimum shown in your dashboard, to the bank account you've provided. Requesting a withdrawal reserves that amount immediately, so you can't request the same money twice. Payouts are reviewed and released by Meji Builds; if a payout can't be completed (for example, incorrect account details), it is returned to your available balance and you'll be told why. You are responsible for keeping your bank details accurate. Meji Builds is not liable for a payout sent to an account you provided incorrectly.

4.7 Taxes

Commission you earn is your income. You are solely responsible for determining and meeting any tax obligations that apply to you under Nigerian law or the law of wherever you're resident. Meji Builds does not withhold tax from commission payouts unless legally required to do so.

4.8 Conduct

You must not, in connection with the referral programme:

Submit fake, duplicate, or misleading client details to generate commission.
Refer yourself, a business you own or control, or anyone acting on your behalf as though they were an independent client.
Attempt to interfere with, reverse-engineer, or manipulate attribution, commission calculation, or the hold/withdrawal system.
Misrepresent your relationship with Meji Builds when sharing your invite link. You are an independent referrer, not an employee or agent of Meji Builds, and may not claim otherwise.

We may withhold or reverse commission, and suspend or close an account, where we reasonably believe any of the above has occurred.

5. Clients & Projects

5.1 Submitting a brief

Filling in a project brief, whether through a Scout's link or directly, does not commit you to anything. It starts a conversation with Meji Builds so we can understand what you need and come back with a price.

5.2 Quotes and acceptance

Meji Builds sends a quote through the platform. Accepting it forms an agreement between you and Meji Builds for that project at that price. You may also decline a quote outright, or ask for changes before deciding; neither closes the conversation. A quote is not binding on either side until you accept it.

5.3 Payment

A deposit (the percentage shown at the time you accept, normally 80%) is due upfront to start work, with the balance due on delivery, unless we agree otherwise in writing for your specific project. Payment is taken through Paystack, a licensed Nigerian payment processor, or by direct bank transfer with the details Meji Builds provides. Prices shown on the platform are in Nigerian Naira (₦) unless stated otherwise.

5.4 Refunds and cancellations

Refund and cancellation terms depend on how much work has been completed at the time and are agreed with you directly by Meji Builds on a per-project basis. Raise this with us through your project's conversation on the platform as early as possible. Where a refund is agreed and processed, any commission a Scout earned on that payment is reversed per section 4.5.

5.5 Communication

All project communication happens through the conversation on your project page, so there's a single written record of what was agreed. Scouts do not have access to this conversation. Pricing and project details are strictly between you and Meji Builds.

6. Payments Through Paystack

Card, bank transfer, and USSD payments on Meji Connect are processed by Paystack, a separate, licensed payment service provider. Meji Connect does not see or store your full card number or banking credentials. That information is handled directly by Paystack under its own terms and privacy policy, which apply to the payment itself alongside these terms. Meji Builds only receives confirmation that a payment succeeded, the amount, and a reference for it.

7. Fees

There is no fee to sign up as a Scout, and referring clients is free. Meji Builds' prices for client projects are agreed per project as described in section 5. Any transaction fee charged by Paystack for processing a payment is Meji Builds' cost, not added on top of what you're quoted.

8. Suspension & Termination

You may stop using Meji Connect at any time. We may suspend or close a Scout or Client account for breach of these terms, suspected fraud or abuse, or where required by law. Closing an account does not affect commission already earned and vested, or payments already agreed for a Client's in-progress project, except where the closure is itself due to fraud connected to that commission or payment.

9. Intellectual Property

The Meji Builds and Meji Connect names, logos, and the platform itself belong to Meji Builds. Nothing in these terms gives you any right to use Meji Builds' branding beyond sharing your own invite link as intended. Work product delivered to a Client under a specific project agreement is governed by that agreement, not by these terms.

10. Disclaimers

Meji Connect is provided "as is." While we work to keep it accurate and available, we don't guarantee it will be uninterrupted or error-free, and we don't guarantee that any particular introduction will result in a paid project. Meji Builds retains full discretion over which projects it accepts and at what price.

11. Limitation of Liability

To the fullest extent permitted by law, Meji Builds is not liable for indirect, incidental, or consequential loss arising from your use of Meji Connect. Nothing in these terms limits liability that cannot lawfully be limited, including for fraud.

12. Indemnity

You agree to indemnify Meji Builds against claims, losses, or costs arising from your breach of these terms or from information you provided that was false or misleading.

13. Changes to These Terms

We may update these terms as the platform evolves. Material changes will be reflected here with an updated date at the top of this page. Continuing to use Meji Connect after a change takes effect means you accept the updated terms.

14. Governing Law & Disputes

These terms are governed by the laws of the Federal Republic of Nigeria. Any dispute arising from them will first be raised directly with Meji Builds with a view to resolving it informally; if that fails, it is subject to the exclusive jurisdiction of the courts of Nigeria.
